Terms of Service

These Terms of Service ("Terms") govern your use of the Moffer platform and website (collectively, the "Service"), operated by Moffer ("we", "us", or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility
Moffer is open to everyone. There is no age requirement to browse, discover, listen to, or purchase music on the platform. By using the Service you agree to these Terms. If you are using Moffer on behalf of an organization, you represent that you are authorized to bind that organization.
2. Your Account
You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. Notify us immediately at legal@moffer.co if you suspect unauthorized access. We may suspend or terminate accounts that violate these Terms.
3. Creator Terms
Ownership and rights. By uploading content to Moffer, you represent and warrant that you own or have the necessary rights, licenses, and permissions to upload, sell, and distribute that content, and that doing so does not infringe any third party's intellectual property, privacy, or other rights.
License to Moffer. You grant Moffer a non-exclusive, worldwide, royalty-free license to host, store, display, and distribute your content solely for the purpose of operating the Service.
Age requirement for selling. Because selling content and receiving payments involves legally binding financial agreements, creators must be at least 18 years old, or the age of contractual capacity in their jurisdiction. We'd love for young artists to be on Moffer. If you're under 18, a parent or legal guardian may register and manage a creator account on your behalf.
Pricing and listings. You set your own prices. You are responsible for ensuring your listings are accurate and comply with applicable laws.
Revenue and fees. Moffer charges a platform fee on each transaction, distributed according to any revenue-split arrangements you have configured. For crypto sales, the fee is currently 8% of the sale price, paid on-chain to your linked wallet. For card, Apple Pay, and Google Pay sales, the fee is currently 11% of the sale price plus a small flat deduction to cover the payment processor's own transaction fee, paid to your connected Stripe account. The card-rail fee is higher because those sales carry payment-processing costs and chargeback/dispute risk that crypto sales don't. Current fee rates are set out in these Terms.
Card payout holds. If you or a collaborator on a listing have not connected a Stripe payout account, that portion of a card, Apple Pay, or Google Pay sale is held for 60 days rather than distributed immediately. We will email reminders about held funds during that period, and your dashboard will display a persistent notice showing the amount held and time remaining. If the payout account is still not connected after 60 days, the held amount is redirected to the listing's owner rather than continuing to be held indefinitely; this does not pause or otherwise affect sales, on either the card or crypto rail. Connecting your payout account at any point before the 60-day mark ensures you receive the funds directly instead. Amounts that end up held by Moffer as platform revenue beyond any applicable dormancy period are handled in accordance with our payment processor's rules and applicable unclaimed-property law.
New-seller payout hold. As a fraud-prevention measure, a newly connected Stripe payout account's card, Apple Pay, or Google Pay payouts are held for an initial period (currently 14 days) after the account is first able to receive payouts, rather than being paid out immediately upon sale. Your dashboard will show the amount held and how many days remain. This hold is released automatically once the period ends, provided there is no open payment dispute affecting the relevant sale.
Payment disputes. If a buyer disputes a card, Apple Pay, or Google Pay charge with their bank or card issuer (a "chargeback"), we may place a hold on, or reverse, any related payout already made to you pending the outcome. We will notify you by email when a dispute affects one of your sales and again once it has been resolved. If the dispute is resolved in our favor, any held or reversed amount is paid out to you.
Payout debt offset. If a payment dispute is resolved against Moffer after a related payout has already been made to you, and the amount cannot be recovered directly, the outstanding amount becomes a debt owed to Moffer and will be deducted from your future payouts until repaid. We will notify you by email if this occurs.
4. Buyer Terms
All sales are final. Digital purchases on Moffer are non-refundable, regardless of payment method, except where required by applicable law or at our sole discretion in the event of a verified platform error.
Crypto payments. Purchases made with USDC on the Base network are settled on-chain. By making a crypto purchase, you accept that blockchain transactions are irreversible once confirmed.
Card payments. Purchases made by card, Apple Pay, or Google Pay are processed by Stripe.
License to purchased content. Purchasing a track or release grants you a personal, non-transferable license to download and listen to the content for private, non-commercial use, unless the listing is explicitly marked as royalty-free or otherwise specifies broader licensing terms set by the creator.
5. Prohibited Content and Conduct
You may not use Moffer to upload, sell, distribute, or otherwise make available content that:
- Infringes the intellectual property rights of any third party
- Depicts or promotes child sexual abuse material (CSAM): any such content will be reported to the relevant authorities immediately
- Contains nudity or explicit sexual acts, or otherwise monetizes adult content or sexual services (e.g., subscriber-only nude images, adult audio/video, sexually explicit audio content) — Moffer does not support the sale, distribution, or monetization of adult content in any form
- Constitutes hate speech, or attacks, demeans, or incites discrimination or violence against any individual or group based on race, ethnicity, national origin, religion, gender, sexual orientation, disability, or any other protected characteristic
- Uses slurs, imagery, or symbols associated with hate movements, extremism, or supremacist ideologies
- Is defamatory, harassing, threatening, or promotes violence against any individual or group
- Is gratuitously obscene or designed primarily to shock, with no artistic or educational merit
- Contains malware, spyware, or other harmful code
- Violates any applicable local, national, or international law or regulation
This prohibition applies to all content on the platform, including but not limited to: artist and band names, release titles, track titles, descriptions, cover art, and uploaded audio.
We reserve the right to remove any content and suspend or permanently terminate any account at our sole discretion, without notice, if we determine it violates these Terms or is otherwise harmful to the platform or its users. Users may report content that violates these Terms using the report function available on content pages.
6. Intellectual Property
Moffer and its logos, design, software, and other platform content are owned by or licensed to Moffer and are protected by intellectual property laws. You may not copy, modify, or distribute any part of the platform without our prior written consent.

7. Blockchain Transactions
For crypto purchases, Moffer uses smart contracts deployed on the Base network to facilitate payments and revenue splits. We do not control the Base blockchain. You acknowledge that:
- Blockchain transactions are irreversible once confirmed
- Network congestion or gas fees may affect transaction timing and cost
- Smart contract bugs, though carefully audited, may exist; use the Service at your own risk
- You are solely responsible for the security of your wallet and private keys
8. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.
9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, MOFFER AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
10. Termination
You may delete your account at any time by contacting us. We may suspend or terminate your access to the Service at any time, with or without notice, for any reason including violation of these Terms. Sections that by their nature should survive termination (including Sections 6, 8, 9, and 11) will survive.
11. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in California.
12. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will notify you by updating the "Last updated" date above. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
